Terms of Service

The following definitions apply throughout these Terms of Service:

Các định nghĩa sau áp dụng trong Điều khoản này: "Wonderme" — Công ty TNHH Wonderme Media Technology (MST: 0110232035); "Nền tảng TapTicket" — Cloud API, Web Dashboard, iOS App và thiết bị IoT TapTicket Scanner; "Ban tổ chức" — doanh nghiệp/cá nhân ký hợp đồng với Wonderme; "Nhân viên" — nhân sự được ủy quyền soát vé; "Người tham dự" — cá nhân có vé TapTicket; "Pass" — vé .pkpass trong Apple Wallet; "NFC" — công nghệ ISO 14443-A, 13.56 MHz dùng để soát vé.

By accessing or using any part of the TapTicket Platform — including creating an account, downloading the iOS App, initiating an NFC scan, or deploying a TapTicket Scanner — you agree to be legally bound by these Terms of Service, our Privacy Policy, and any applicable service-level agreements or schedules.

If you do not agree to these Terms, you must not use any part of the TapTicket Platform.

If you are using TapTicket on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and these Terms apply to both you individually and to your organization.

Bằng cách truy cập hoặc sử dụng bất kỳ phần nào của Nền tảng TapTicket — bao gồm tạo tài khoản, tải iOS App, thực hiện soát vé NFC, hoặc triển khai thiết bị TapTicket Scanner — bạn đồng ý bị ràng buộc pháp lý bởi các Điều khoản này và Chính sách Quyền Riêng Tư. Nếu sử dụng TapTicket thay mặt tổ chức, bạn xác nhận có thẩm quyền ký kết thay tổ chức đó. Nếu không đồng ý, hãy ngừng sử dụng ngay.

Wonderme provides the TapTicket Platform — an integrated, end-to-end event management and contactless ticketing ecosystem. The Platform includes:

TapTicket enables Organizers to:

• Create, customize, and manage events and ticket tiers
• Generate and distribute digital tickets as PDF, QR code, Apple Wallet pass, or NFC tag
• Deploy hardware check-in devices at event gates
• Validate attendee entry in real-time via NFC tap, QR scan, or manual code
• Monitor live attendance dashboards and generate post-event reports

3.3 Service Limitations

TapTicket does not currently provide:

• Direct consumer ticket purchase / e-commerce functionality
• Payment processing or financial transaction services
• Video streaming or hybrid event broadcasting
• Physical ticket fulfillment (printing, mailing)

Wonderme cung cấp Nền tảng TapTicket gồm 4 thành phần: Cloud Backend API (RESTful + WebSocket, xác thực real-time và tạo vé Apple Wallet), Web Admin Dashboard (quản lý sự kiện, vé, khách mời), iOS App (soát vé NFC/QR cho nhân viên), và TapTicket Scanner (thiết bị IoT tự phát triển tại cổng sự kiện). TapTicket hiện không cung cấp: bán vé trực tiếp cho người tiêu dùng, xử lý thanh toán, hay phát sóng sự kiện hybrid.

To access the TapTicket Web Dashboard or iOS App, you must register an account. By registering, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate
• Keep your password strictly confidential and not share it with any third party
• Notify Wonderme immediately at tech@wonder.io.vn if you suspect unauthorized access to your account
• Accept responsibility for all activities that occur under your account credentials

Wonderme employs JWT-based authentication with short-lived access tokens (15 minutes) and rotating refresh tokens (30 days). We enforce rate limiting on login attempts. However, the security of your credentials is your responsibility. We strongly recommend using a unique, strong password and enabling available security features.

Để sử dụng TapTicket, bạn cần đăng ký tài khoản và cung cấp thông tin chính xác, giữ bí mật mật khẩu. Có 3 loại tài khoản: Admin (toàn quyền, 18+), Nhà phân phối/Ban tổ chức (quản lý sự kiện của mình, 18+), và Nhân viên (soát vé iOS App, 16+). Chia sẻ tài khoản cho người không được ủy quyền là vi phạm nghiêm trọng các Điều khoản này.

5.1 Organizer Obligations

As an Organizer, you are responsible for:

• Compliance with Vietnamese Law No. 13/2023/QH15 on Protection of Consumer Rights for all events you manage through TapTicket
• Obtaining necessary permits, licenses, and regulatory approvals for your events
• Ensuring your guest lists and attendee data were collected with appropriate consent
• Informing attendees that TapTicket technology (NFC/Apple Wallet) will be used for entry
• Maintaining an accurate and current whitelist for gate operations
• Properly securing and not misusing attendee data accessed through TapTicket

Các hành vi được phép: tạo và phát hành vé sự kiện hợp pháp, soát vé NFC/QR, triển khai thiết bị TapTicket Scanner, tích hợp API. Các hành vi bị nghiêm cấm: làm giả vé, bypass xác thực NFC, dịch ngược mã nguồn iOS App/firmware, thu thập dữ liệu trái phép, bán lại quyền truy cập. Ban tổ chức có trách nhiệm: tuân thủ pháp luật Việt Nam, có giấy phép tổ chức sự kiện, thông báo cho khách tham dự về việc sử dụng công nghệ NFC, và bảo vệ dữ liệu khách mời.

6.1 Apple Wallet / PassKit

Wonderme issues Apple Wallet passes under a valid Apple Pass Type ID Certificate obtained through the Apple Developer Program. By using the Apple Wallet feature, you acknowledge:

• Passes are generated by Wonderme and signed with Wonderme's Apple Developer credentials. All pass data displayed in Apple Wallet is determined by Wonderme's configuration
• Apple Inc. is not a party to these Terms and is not responsible for TapTicket or its passes
• Wonderme is an independent developer and is not affiliated with, endorsed by, or sponsored by Apple Inc.
• Apple Wallet functionality is subject to Apple's platform requirements and may change due to iOS updates beyond Wonderme's control
• Organizers must not attempt to reproduce, mimic, or display Apple Wallet pass UI elements outside of official Apple frameworks

6.2 TapTicket Scanner Hardware Terms

Organizers who lease or receive TapTicket Scanner hardware agree to:

• Use the hardware exclusively for TapTicket event check-in at contracted events
• Not attempt to flash, modify, or replace the firmware without written permission from Wonderme
• Return hardware in good condition at the end of the event or contract period
• Report any hardware malfunction promptly to tech@wonder.io.vn
• Accept that OTA (Over-the-Air) firmware updates may be pushed by Wonderme for security or feature improvements

TapTicket chỉ đọc NFC từ thiết bị IoT do Wonderme phát triển, phục vụ duy nhất mục đích soát vé sự kiện. Ban tổ chức không được dùng thiết bị TapTicket để đọc NFC ngoài mục đích xác thực vé. Token NFC là token một lần, bảo mật 256-bit. Về Apple Wallet: Wonderme là nhà phát triển độc lập, không có liên hệ với Apple Inc. Thiết bị TapTicket Scanner được sử dụng độc quyền cho soát vé TapTicket, không được tự ý flash firmware.

7.1 Wonderme's Intellectual Property

All components of the TapTicket Platform — including but not limited to software source code, firmware, database schemas, UI designs, API specifications, trademarks, logos, and documentation — are the exclusive intellectual property of Wonderme Media Technology Co., Ltd., protected under:

• Vietnam Law on Intellectual Property (No. 50/2005/QH11, amended by No. 07/2022/QH15)
• International IP treaties to which Vietnam is a signatory

Nothing in these Terms grants you any ownership interest, license to reproduce, or right to sub-license any Wonderme intellectual property, except the limited right to use the Services as described herein.

7.2 License Granted

Subject to these Terms, Wonderme grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Web Dashboard for event management purposes
• Download and use the TapTicket iOS App on iPhone devices owned or controlled by you
• Use TapTicket APIs in accordance with the API documentation provided by Wonderme

7.3 Your Content

You retain ownership of content you upload to TapTicket (e.g., event banners, descriptions). You grant Wonderme a limited, worldwide license to host, store, and display that content solely for the purpose of providing the Services.

7.4 Feedback

Any feedback, suggestions, or ideas you provide about TapTicket may be used by Wonderme without obligation or compensation to you.

Toàn bộ thành phần Nền tảng TapTicket (source code, firmware, UX/UI design, logo, API specs) là tài sản trí tuệ độc quyền của Wonderme, bảo hộ theo Luật Sở hữu trí tuệ Việt Nam số 50/2005/QH11 (sửa đổi 07/2022/QH15). Wonderme cấp cho bạn giấy phép hạn chế, không độc quyền, không chuyển nhượng, có thể thu hồi để sử dụng Dashboard, iOS App và API. Bạn giữ quyền sở hữu nội dung bạn tải lên (banner, mô tả sự kiện).

TapTicket is offered under a project-based or subscription pricing model as agreed in your service contract with Wonderme. The following commercial terms apply:

• Pricing: All fees are specified in your individual service agreement or purchase order. Published pricing on the TapTicket website (if any) is indicative and subject to change
• Invoicing: Wonderme issues invoices compliant with Vietnamese VAT law. VAT (10%) applies to all services provided within Vietnam unless otherwise exempted
• Payment Terms: Unless otherwise agreed, payment is due within 30 days of invoice date (NET30)
• Late Payment: Overdue balances accrue interest at 0.1% per day as permitted under Vietnamese law
• Suspension: Wonderme reserves the right to suspend Services upon 7 days written notice for non-payment without liability for any resulting downtime
• Hardware Deposit: TapTicket Scanner hardware may require a refundable deposit, returned upon device return in good condition

TapTicket được cung cấp theo mô hình dự án hoặc đăng ký theo hợp đồng dịch vụ riêng. Điều khoản thương mại: định giá theo hợp đồng; VAT 10% áp dụng cho dịch vụ trong nước; thanh toán trong 30 ngày kể từ ngày xuất hóa đơn (NET30); lãi trả chậm 0.1%/ngày; TapTicket có quyền tạm ngừng dịch vụ sau 7 ngày thông báo nếu chưa thanh toán; đặt cược thiết bị Scanner có thể áp dụng. TapTicket không xử lý thanh toán từ người tham dự sự kiện.

9.1 Uptime Commitment

Wonderme targets 99.5% monthly uptime for the TapTicket Cloud API and Web Dashboard. Scheduled maintenance windows (announced 48 hours in advance) and force majeure events are excluded from uptime calculations.

Wonderme cam kết uptime 99.5%/tháng cho Cloud API và Web Dashboard. Chế độ Offline của TapTicket Scanner: sử dụng whitelist cache trong RAM, thu hồi vé offline sẽ không được áp dụng cho đến khi thiết bị kết nối lại — Wonderme không chịu trách nhiệm về trường hợp này. Thời gian phản hồi hỗ trợ: P1 (sự cố nghiêm trọng trong sự kiện trực tiếp): 2 giờ; P2 (hệ thống NFC chậm): 4 giờ; P3 (tính năng Dashboard không hoạt động): 1 ngày làm việc; P4 (câu hỏi chung): 3 ngày làm việc.

The collection, storage, and processing of personal data through TapTicket is governed by our Privacy Policy, which is incorporated into these Terms by reference. Key data governance provisions:

• Data Controller / Processor: Wonderme is the Data Controller for platform-wide data. For event-specific data, the Organizer may act as a co-controller. A Data Processing Agreement (DPA) is available upon request for Organizers who require one for GDPR compliance
• Organizer Data Obligations: Organizers are responsible for ensuring that attendee personal data used in TapTicket was lawfully collected and that appropriate consents or legal bases exist
• Data Security: Wonderme implements industry-standard security measures. Organizers agree not to circumvent or interfere with these security measures
• Data Access: Organizers may only access data for events they are authorized to manage. Accessing another Organizer's event data is prohibited and may constitute a criminal offense under Vietnam's Cybersecurity Law
• Data Portability: Upon contract termination, Organizers may request an export of their event data in JSON or CSV format within 30 days of termination
• Breach Notification: In the event of a security breach affecting Organizer data, Wonderme will notify affected Organizers within 72 hours of becoming aware

Việc xử lý dữ liệu cá nhân được điều chỉnh bởi Chính sách Quyền Riêng Tư của chúng tôi, được tích hợp vào các Điều khoản này bằng cách tham chiếu. Các điều khoản quản trị dữ liệu chính: Wonderme là Bên Kiểm soát Dữ liệu toàn nền tảng; DPA (Thỏa thuận Xử lý Dữ liệu) có sẵn theo yêu cầu cho GDPR; Ban tổ chức chịu trách nhiệm về tính hợp pháp của dữ liệu khách mời; xuất dữ liệu JSON/CSV trong 30 ngày khi chấm dứt hợp đồng; thông báo vi phạm trong 72 giờ.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• TapTicket is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement
• Wonderme does not warrant that the Services will be error-free, uninterrupted, secure, or free of viruses or other harmful components
• Wonderme does not warrant that NFC technology will function in all environments, physical locations, or with all iPhone models. Physical obstructions, electromagnetic interference, or iOS system restrictions may affect NFC performance
• Apple Wallet pass delivery and display depends on Apple's systems, over which Wonderme has no control
• Wonderme does not warrant the accuracy of any analytics, statistics, or reporting data generated by the Platform

Trong phạm vi tối đa pháp luật cho phép, TapTicket được cung cấp "NGUYÊN TRẠNG" và "KHI CÓ SẴN" không có bảo đảm dưới bất kỳ hình thức nào. Wonderme không bảo đảm: dịch vụ không gián đoạn, NFC hoạt động trong mọi môi trường, độ chính xác tuyệt đối của analytics. Tuy nhiên, không điều khoản nào hạn chế quyền của bạn theo Luật Bảo vệ Quyền lợi Người tiêu dùng Việt Nam.

To the maximum extent permitted by law, Wonderme's total aggregate liability to you for any claims arising from or related to these Terms or the Services shall not exceed the greater of: (a) the total fees paid by you to Wonderme in the 12 months preceding the claim, or (b) VND 10,000,000 (ten million Vietnamese Dong).

Wonderme shall not be liable for any:

Tổng trách nhiệm pháp lý của Wonderme không vượt quá: phí đã thanh toán trong 12 tháng trước khiếu nại, hoặc 10.000.000 VNĐ (tùy số nào lớn hơn). Wonderme không chịu trách nhiệm về: thiệt hại gián tiếp/hậu quả, thiệt hại do hủy sự kiện, sự cố NFC/mạng, gián đoạn Apple Wallet, vào cổng trái phép do chế độ offline, hoặc sự kiện bất khả kháng.

You agree to indemnify, defend, and hold harmless Wonderme and its officers, directors, employees, agents, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your breach of these Terms or any applicable law
• Your misuse of the TapTicket Platform or NFC technology
• Events you organize using TapTicket, including any attendee claims
• False or misleading information you provide to Wonderme
• Your infringement of any third-party intellectual property rights through your use of TapTicket
• Any unauthorized modification of TapTicket Scanner hardware or firmware

Bạn đồng ý bồi thường và giữ Wonderme vô hại khỏi các khiếu nại, thiệt hại và chi phí pháp lý phát sinh từ: vi phạm Điều khoản này, lạm dụng công nghệ NFC, các sự kiện bạn tổ chức qua TapTicket, thông tin sai lệch bạn cung cấp, vi phạm quyền sở hữu trí tuệ bên thứ ba, hoặc việc tự sửa đổi phần cứng/firmware TapTicket Scanner.

14.1 Term

These Terms remain in effect from the date of acceptance until terminated by either party in accordance with this Section.

14.2 Termination by Either Party

Either party may terminate these Terms (and the associated service relationship) by providing 30 days written notice via email to the other party.

14.3 Termination for Cause (Immediate)

Wonderme may terminate your account immediately, without notice, if:

• You materially breach these Terms and fail to cure within 7 days of notice
• You engage in fraudulent, illegal, or abusive use of the Platform
• You attempt to circumvent security measures or reverse-engineer Wonderme's software or hardware
• Your continued use poses a security risk to other users or the Platform

14.4 Effect of Termination

• Your right to access the Platform ceases immediately upon termination
• Active tickets remain valid (Attendees are not penalized for Organizer termination)
• Data export available for 30 days post-termination upon request
• All hardware must be returned within 14 days of termination
• Provisions regarding intellectual property, indemnification, limitation of liability, and governing law survive termination

Điều khoản có hiệu lực từ ngày chấp nhận cho đến khi chấm dứt. Chấm dứt thông thường: thông báo bằng văn bản 30 ngày. Chấm dứt ngay lập tức nếu: vi phạm trọng yếu không được khắc phục trong 7 ngày, sử dụng gian lận/bất hợp pháp, cố gắng bypass bảo mật, hoặc đặt ra rủi ro bảo mật. Sau khi chấm dứt: xuất dữ liệu trong 30 ngày, trả thiết bị trong 14 ngày, vé đang hoạt động vẫn còn hiệu lực.

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without regard to its conflict of law principles.

15.2 Dispute Resolution

In the event of any dispute, controversy, or claim arising from or related to these Terms:

   Negotiation (15 business days): The parties shall first attempt to resolve the dispute through good-faith negotiation by senior representatives
2. 2.
   Mediation (30 days): If negotiation fails, either party may request mediation through the Vietnam Mediation Center (VMC)
3. 3.
   Courts: If mediation fails, disputes shall be resolved by the competent People's Court of Hanoi, Vietnam. Each party waives objection to jurisdiction and venue in such courts

15.3 Language

These Terms are written in English and Vietnamese. In the event of any inconsistency between the English and Vietnamese versions, the English version shall prevail.

Các Điều khoản được điều chỉnh bởi pháp luật Cộng hòa Xã hội Chủ nghĩa Việt Nam. Giải quyết tranh chấp theo thứ tự: (1) đàm phán thiện chí 15 ngày làm việc → (2) hòa giải tại Trung tâm Hòa giải Việt Nam (VMC) 30 ngày → (3) Tòa án Nhân dân Hà Nội. Trong trường hợp mâu thuẫn giữa bản tiếng Anh và tiếng Việt, bản tiếng Anh sẽ có hiệu lực ưu tiên.

• Entire Agreement: These Terms, together with the Privacy Policy and any applicable service schedules, constitute the entire agreement between you and Wonderme regarding TapTicket, and supersede any prior agreements
• Severability: If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force
• Waiver: Wonderme's failure to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision in the future
• Assignment: You may not assign these Terms without Wonderme's prior written consent. Wonderme may assign these Terms, including in the context of a merger, acquisition, or sale of assets, without your consent
• Force Majeure: Neither party shall be liable for failure to perform due to events beyond reasonable control, including natural disasters, war, government actions, pandemic, or major infrastructure failures, provided the affected party notifies the other within 5 business days
• Notices: Legal notices to Wonderme must be sent to tech@wonder.io.vn. Notices to you will be sent to the email address registered in your account
• Updates to Terms: Wonderme reserves the right to modify these Terms. Material changes will be notified by email with 30 days advance notice. Continued use after the effective date constitutes acceptance
• Third-Party Rights: These Terms do not create any rights in favor of any third party not a party to them

Các điều khoản chung: Toàn bộ thỏa thuận — Điều khoản này cùng Chính sách Quyền Riêng Tư là thỏa thuận đầy đủ. Tính tách rời — điều khoản không thể thực thi sẽ được sửa đổi tối thiểu. Không từ bỏ quyền — không thực thi không có nghĩa là từ bỏ quyền. Chuyển nhượng — bạn không thể chuyển nhượng mà không có sự đồng ý của Wonderme. Bất khả kháng — thông báo trong 5 ngày làm việc. Cập nhật Điều khoản — thông báo 30 ngày trước thay đổi trọng yếu.
